My mum is looking to replace my old 2nd gen iPod touch with the latest and greatest model with camera. The 2nd gen is stuck at ios 4.2.1, will she be able to restore from backup to transfer all her apps, email and settings to the new ipod?
No problem

You just could not go the other way, restore a 2G from an update made with an iOS greater than 4.2.1
