At what point in the process are you getting this message? Have you tried downloading a fresh copy of the iTunes setup file from http://www.apple.com/itunes/download/ ?

The steps in the second box are a guide to removing everything related to iTunes and then rebuilding it which is often a good starting point unless the symptoms indicate a more specific approach. Review the other boxes and the list of support documents further down page in case one of them applies.
Your library should be unaffected by these steps but there is backup and recovery advice elsewhere in the user tip.

Thank you for trying to resolve my issue, however I am not able to find itunes under C/program files/itunes.
I am using Windows 7 (32-bit) and I have installed all windows updates, but still getting same error as soon as I click on set up file to install itunes.
Please suggest what needs to be done.

Reboot the machine.
Work through the steps in the second box to remove any remaining components of a previous installation.
Download a fresh copy of the installer using the links in the further information area of Troubleshooting issues with iTunes for Windows updates.
The file should download directly within your browser. If any third party download "assistant" tries to take charge of downloading it you have other problems.
Once the installer is downloaded right-click on it, possibly with CTRL held down, and Run as Administrator.
If it fails again temporarily disable your AV software and try again.
