If you are having to update and update, and then update again to get iTunes 12.0.1 to actually update, the solution (according to apple care) is to go to https://www.apple.com/itunes/download/ and download it manually and install. I had to do this and that worked.
On the "You Have 2 Apps to accept" is different than the issue I have which is that I have "You Have 6 Apps to accept" and I already had them in the purchased section and had updated them. Every time I accept them I get the message that they have already been assigned to my apple ID and re-appear. I spent 1 hour on the phone with apple care on this and went up the chain to a specialist. They had me submit screens shots of my entire process of "You Have 6 Apps to accept" to the window that shows my apple ID and that I was indeed logged in to the window that says that they apps have already been assigned to my apple ID. They are well aware now of this issue, and this thread, and there are many that are having this problem. It is now with their engineering to determine a solution. It also seems to be computer specific. While my MBpro retina has this issue, 2 of my mbpro 13" on the same account do not.
If you have apple care, you might want to call them and have them help with your issue which is different from what my issue is.

Oct 23, 2014 4:22 AM in response to MattAndersnby Doc Williams,I'm having a similar problem since upgrading to Yosemite. App Store indicates I need to upgrade iTunes. Yet I've already done that. In fact, below it shows that I've already upgraded iTunes to the latest version, yet I cannot get rid of the message that I need this software update. When I click on "upgrade" it loads about 50MB of the 218MB indicated then stops. Below, it shows that I've upgraded (yet again) but the original message to upgrade iTunes is still there above with the number 1 showing in my App Store icon. Very frustrating. What do I do?

That solution was suggested by someone else in another part of the Forum, but they couldn't tell me if I'd lose my music. iTunes 12.0.1 was loaded automatically when I upgraded to Yosemite. It works perfectly so I'm anxious about re-loading manually. It seems that App Store doesn't recognise that I have it already installed. So, do I have to uninstall iTunes first, then re-install manually? Will my music still be there? I'm fairly new to this sort of thing. Thanks for any advice you can give.

I have a mid 2011 iMac 27" that does not exhibit the problem so I agree with the hardware specific issue. Maybe the SSD is the answer?
Hopefully they will release a fix soon.

- some have this issue with SSD machines; others have it with non-SSD machines.
- some have this issue with their iMac and not their MacBook Pro; others have this issue with their MacBook Pro and not their iMac.
- some have 6 apps to accept (iLife and iWorks); others just have a subset of these 6 apps.
- some had processing issues while upgrading to Yosemite; others did not have upgrade issues.
- (am sure there are more combinations I have missed)
It appears the common things we all share are;
- we did not have this issue before upgrading to Yosemite.
- we are frustrated by accepting applications only to be told those apps are already associated with our ID and being re-prompted to accept apps.

I suspect the apple record is corrupted or is associated with a different apple id.
I have a different Apple ID I use for iCloud and App store purchases. I suspect that during the upgrade process it associated the iCloud id but then they got
accepted under the App Store and the iCloud record is hanging out someplace.
