That exclamation point in your iTunes library means that the file has moved from where iTunes had it stored originally, but iTunes still thinks its in the same place. You could try using the following article to try and locate it:
iTunes: Finding lost media and downloads
If you cannot find it, then delete the entry in iTunes from the computer:
iTunes 12 for Windows: Delete songs, playlists, or other items
Click the item to select it, and press the Delete key.
Click Delete [item].
Do one of the following:
Remove the item only from your iTunes library: Click Keep File.
Delete the item from your computer: Click Move to Recycle Bin. The item is removed the next time you empty the Recycle Bin.
Then download it from your purchased history:

I bought a new media drive, moved all my iTunes folders to that, mapped it as a drive on my PC and then went into Preferences->Advanced changed the path to the new media drive.
All worked well - under iTunes 11....
Then I installed iTunes 12...
Now it is losing many files and now many have the exclamation mark.
Apple. You are the biggest company in the world. Is it too hard to get a sodding music file application right? You continued to fix something that never needed fixing and now it does - big time.
Please. Go back to the drawing board and give us an application that is simple and easy to use for syncing our music with our Apple devices. iTunes has become a sad joke. Really, it has.
