You've copied off everything that you want, including iTunes downloads (you may not be able to redownload them from the store ; File > Devices > Transfer Purchases should copy them over to your computer's iTunes library), documents and photos ?
Log out of your account by tapping on it in Settings > iTunes & App Store, log out of the cloud (Settings > iCloud > Sign Out ; if Find My iPad is enabled then you will either need to log out before resetting the iPad, or you will be prompted for your iCloud id and password to reactivate the iPad after resetting), and then do Settings > General > Reset > Erase All Content & Settings
Connect the iPod to your computer and restore to factory settings/new iPod via iTunes

If necessary:
Place the iOS device in Recovery Mode and then connect to your computer and restore via iTunes. The iPod will be erased.
If recovery mode does not work try DFU mode.

If you previously turned on FIndMyiPod on the iPod in Settings>iCloud and wifi is on and connected go to iCloud: Find My iPhone, sign in and go to FIndMyiPhone and use Remote Wipe to erase the contents of your device. If you have been using iCloud to back up, you may be able to restore the most recent backup to reset the passcode after the device has been erased.
You can also wipe the iOS device by installing the FindMyiPhone app on another iOS device and using that app to wipe the device.
