password protected and need to restore to factory settings

My daughter has a 2nd gen iPod touch. she is wanting to sell it. BUT, it has a password that she cant remember. I just need to find a way to get around the password and get it put back to factory settings. if anyone can help me out, i would greatly appreciate it!

You need to restore it on iTunes from your computer.

iTunes isnt regonizing the ipod.....i dont know what that means or how to get around it
