How to upgrade IOS on previously used Iphone 5 that is not set up

I am trying to do an Icloud backup that is version IOS 8.4.1 but the phone currently is on version IOS 7.1.1. The phone states no iCloud backups are compatible with the version of iOS 7.1.1 on this Iphone. How do I update the IOS when I can't get to the settings. Do I set it up as a new phone?

Set up the iPhone as a new phone, update to iOS 8.4.1, then restore phone. This article covers both.
