Why does a 16 GB i-phone has only 12 or 13 GB of actual memory?

I think you mean Storage. That would be because some of the space is taken up by the iOS running the phone as well as legacy apps.

The OS is taking up space and system apps
Apple was called out on this a while ago for saying you have 16 gigs of storage when your OS takes up a chunk of it. Every phone provider does this but to compensate i wish they would just give us more memory for free in the cloud.

You too are confusing Memory with Storage Space. The same happens on any Smart Phone, Tablet or PC. There is no compensation. Like it or leave it, be it Apple, Android or Windows.
