Does it have a camera? If not, it is the original iPad model and can not be upgraded any further than iOS 5.1.1.
IF it is an iPad 2, what happens when you try to update?

I don't know why it directs you to settings when the update fails. Can you win in more detail? If you have to update over the air, instead of using iTunes, force restart the device and try again.
To force restart your device, press and hold both the Sleep/Wake and Home buttons for at least ten seconds, until you see the Apple logo.
