Is the step by step in moving content and apps
I'm not familiar with needing a password, unless you chose to encrypt the backup (i've never done that)
If you did encrypt the backup of the old phone, try to do it again without encrypting it

You need to go to settings iCloud -backup now on your old iphone it needs to have the latest ios 9.2.1
Then set up new iPhone over your WiFi use the same apple ID / password & passcode
& when asked say yes to use iCloud back up .
