Hopefully you're on a WiFi connection with a good clear access to the internet.

Hold the on/off and home buttons together for about 10 seconds until the Apple logo appears.

You may be able to upgrade via iTunes on your laptop/PC.
If if you do not have iTunes installed on Windows/Mac, refer to this link:
http://www.apple.com/itunes/download/
When you have iTunes, do the following:
1) Open iTunes.
2) Click on the "Summary" icon near the top.
3) Click on "Check for updates".
4) Click on "Download and Update".
If the phone still refuses to update, then wait a week or so. It may take some time for the update to fully activate.

That's been a part of IOS for ages and is in no way indicative of a fake device.
