I'm assuming you're referring to a normal backup, not Time Machine backup. Restarting your computer should "free" it from the app that was last using/creating it.
i have tried that many times and it still tells me its open when i try to move it to trash

The application is set to automatically launch at startup, which is why you can't remove it.
Here are things to try:
Go to System Preferences -> Users & Groups -> <your account> -> Login Items
If Mega Backup is listed there, uncheck it, then reboot. Now it shouldn't be running and you can delete it.
if it's not in Login Items, use /Applications/Utilities/Activity Monitor and look for the process listed there. Double-click it in the list, then click the 'Quit' button. Now you should be able to delete it.
If neither of these two work, post back and we can dig a little deeper.
