I understand that you are having multiple issues with your iPad. Let's see of we can get this worked out.
Let's start with the first issue, pairing your headphones. Now if you have restarted both your iPad and headphones and they still aren't pairing, then you will want to remove the pair and set it up as if it was the first time. Now as far as your ability to use your Mac to sync and upgrade, it could be due to you using a previous version of OS X. If you look at the next link below, it will tell you the system requirements for installation. If you are not using at least OS X 10.8.5 Mountain Lion, then you will need to update to that or OS X 10.11 El Capitan.
