What error message are you getting? is the new device at iOS 9.3.1?
It is normal that in order to use an iCloud backup to restore to an iPhone that has already been setup you first erase all content and setting and then use the backup to set it up again.

The only way to restore from an iCloud backup is through the setup assistant. To get to the setup assistant on a device you already set up, you'll need to erase all the content on your device and set it up again:
- Tap Settings > General > Reset > Erase All Content and Settings.
- Then follow the steps in the setup assistant to set up your device using an iCloud backup.

Thank you very much. We read this at Apple but was hoping there was a work around as some items were already on the new phone.
We reset everything back and went thru setup again and was able to load everything from the cloud from the old phone. You verified all this.
