unable to sync iphone

I just got a replacement iphone. When trying to sync, was unable to sync with icloud. When trying to sync with itunes, computer says phone needs most updated version of itunes. When updated, computer says it is running most updated version.

iPhone 6s, Mac OS X (10.7.5)
