Have tried signing out and back in - didn't work.
Have changed settings (Edit->Preferences) so Store never requires a password but that didn't work. In fact I found that the settings just reverted back ???
Now I have just signed out altogether. Not sure if Updates to Apps will happen but at least its stopped that annoying popup.

Not sure if you have managed to get rid of this popup/prompt but....
there's another conversation going / ongoing with the same problem and one user has pointed me to this page:

I found by starting iTunes in safe mode the popup didn't appear
I tried removing and creating a new library file (Under User specific issues).
That worked but had to import all my music/movies and apps back to iTunes....only to find the iPad would not automatically backup and sync when connect like it use to. Just sat there doing nothing.
So i removed that library file and restored my library file to an older one from the "Previous iTunes Libraries" folder:

That worked fine. All music/movies and apps accounted for without having to import or re download and no popup (well at least not yet - fingers crossed)
Two and a half hours of my life I wont get back
Not sure if this will work for you or not.
