The iPhoto Library Upgrader is only necessary, if your iPhoto Library has last been opened by iPhoto 7.1.2 or an even older iPhoto version. Then it needs preparing. Otherwise you can directly drag it onto the Photos icon in the Dock to migrate it to a Photos Library.    iPhoto '11: About the Library Upgrader
