Getting DUNS Number

Hi all.

I registered an LLC in Delaware. I put mailing address to be in Croatia. I don't have registered company in Croatia. My goal was to register a company in US so I can get DUNS number. But because I put mailing address to be in Croatia they are forwarding my request to Croatia and here in Croatia they are asking for company's ID number which I don't have since it's not registered here in Croatia.

Last reply I got from D&B is:

"

Hi Dario,

Upon checking the process, you would really need to file a separate registration for your company in Croatia since that's where your business is located. The business registrations filing should match the address where the company is physical located. "

I'm totally confused, what did I do wrong? We have no physical address. We registered LLC just to get DUNS number for Apple App Store, so I put my private address here in Croatia.

Any suggestions?

There is no solution to it. If you registered a company in US but you are from Croatia (or any other country) you need to register a company in Croatia.

This is what happened. I registered company in US and I put Croatian mailing address. So they thought I have headquarters in Croatia so they forwarded this problem to Croatian DUNS office. Here in Croatia they couldn't do anything because I don't have company registered here in Croatia. So they forwarded it to US DUNS office. They thought it was Croatian company because it had Croatian mailing address so they forwarded it to Croatian office again.

So I had: My_Company LLC, Some_Croatian_Address

But if you register in US, let's say My_Company LLC, you must put US physical address.

So right now I'm trying to dissolve my company. The only reason I registered it is because of Apple App Store

Hello Dario!

I'll try some more alternatives before closing the company. Because I believe that failure is the D & B registration process.

I'm from Brazil and I have no business here. I opened a c-corporation in Delaware. The company has already been incorporated, has US bank account and this week I received the IRS EIN. In short, for the state, federal government, and the bank is legally ok!

I'm no expert, I will share with you what I understand this process. But I think you could get in touch with those responsible for opening the company in Delaware to answer questions.

D & B is confusing, considering the physical address. Because it takes a DUNS for each physical address of the company.

But there is the concept of registered office in the countries of the Common Law. Please see the link below.

https://en.wikipedia.org/wiki/Registered_office

You can start a business in the US as a foreign, but the state record is the address of a registered office.

Your physical address must remain in Croatia. For to work in the US, you need a work permit or residence, or be a US citizen.

As a last alternative I entered the D & B website and created a login.

https://www.dandb.com

Filled with the address of the registered office and put a skype number of Delaware (with redirected call to my phone).

I am also evaluating the e-residency of Estonia. I've done the request and will get the ID Card on Monday. I believe that the process of Estonia's different because they give you an address in Estonia. But I need to study more about it.

If it works I'll let you know. If you have news, please send me. Thank you and good luck!

Regards,

Fabio

Problem is I submitted the form on D&B's site 4 times, every time it was the same rejection reason:

"We were not able to provide a D-U-N-S Number for this request.

Resolution Description: Unable to Verify

To resolve this issue, either resubmit your request with the additional information or contact D&B directly to assist in the verification of your business. Email: appdeveloper@dnb.com"

"Your file could not be created.

Thank you for using the Company Update service provided by D&B. We apologize, but the credit file you requested could not be created. "

So I called them and we talked and they said they would resolve that and then they sent email:

"Hi Dario,

Upon checking the process, you would really need to file a separate registration for your company in Croatia since that's where your business is located. The business registrations filing should match the address where the company is physical located. "

I registered LLC just to be on the App Store as company. That's all.

I even sent email to Apple, they couldn't do anything. I contact Apple, they send it to D&B, D&B try to resolve the issue, they can't so they tell me to contact Apple. I attached my registration papers. I literally tried everything.

Hello dario_dj & Fabio,

If you are creating a US corporation, then it needs to be 100% US. If the state of Delaware allows foreign nationals to create corporations, then that is a problem for Delaware or perhaps the US federal government. All you need to do is comply with the law, whatever that happens to be. I am not a lawyer, so don't quote me. I STRONGLY suggest you hire a real lawyer for advice.

But, while you may be able to legally create a corporation, that doesn't necessarily mean that other corporations such as Dun & Bradstreet or Apple are willing to do business with you. In addition to complying with the law, you must also comply with whatever terms and agreements that are required from these other entities.

I think all you need to do is contact a UPS Store or similar establishment somewhere in Delaware and get an official address. A post office box is usually not sufficient. There are other companies that offer valid, physical addresses that can legally be used to create corporations. Then create your corporation using that address. Make sure all of your bank accounts use that address too. Whether that is possible or not is a different question. Again, now you have to add your virtual office and your bank to the list of other entities with their own terms and agreements. All of that is going to cost money and a lot of extra money if you are in Croatia or anywhere else that isn't in the US.

When you have all your ducks in a row, you can create a DUNS number, get a developer account, and get started. Expect the process to take several months at least. You may want to consider an individual account if you need to get your app in the store sooner. Just be warned that if you do try to create an individual account and then convert it, that will also take some time and carries its own problems. Apple puts corporations under much more scrutiny than individuals. There is no guarantee that they would accept your corporation at all and they could terminate your existing individual account and pull your apps from the store.

Good luck!

Hello etresoft! Thank you for your comments!

In my case I'm already using the agent service registered in Delaware. For $ 100 per year they already provide a physical address for the company in Delaware. So I do not need a post office box. And I count on the help of lawyers to make the incorporation of the company.

I already have an individual account, I'm trying to migrate. Thanks for the warnings!

For the record, I received the DUNS number yesterday. I believe that the way to exceptional cases is to contact appdeveloper@dnb.com and explain the situation. In my case I sent the certificate of incorporation. They called me and made several questions, but it was quite a quick and effective process. I suggest to have at least one US number. It can be a Skype number that redirects to your phone.
