Because there is something really wrong. It should never take that long. Restart your iPad and see if the update starts.

After two days in that state, it is possible that your iPad will go into recovery mode. If you see the iTunes logo and the USB cable on the screen, that means it has gone into recovery mode and needs to be restored. I hope that doesn't happen, but just in case.....
