If you have third party anti virus software installed, disable it then try downloading the update.
Also, net monitoring apps such as Little Snitch can cause a conflict with updates.

I don't install any third party anti-virus software.
Only one familiar software is iStat Menus, I will disable all monitors from this software and try to Download & Restart the 10.12.1 again.

Having the same problem with my 2012 iMac-although I just successfully installed the update on my 2011 MacBook Air. Have tried resetting pram, restarting and installing in 'safe mode', checking the clock, disabling one virus monitoring app, running the install .pkg directly by double-clicking, disabling auto-update in the app store (each suggested by various web sites)-nothing works yet. Last try I thought I had it-gave me a progress bar and 18 minutes to go, when the same window took over and had to restart again.
Searched for third party system extensions and uninstalled flip4mac and perian. Installation worked fine. Thanks to Carolyn for the help!
