Follow these steps to erase your locked watch and pair it with your new iPhone:

• Connect your watch to its charging cable, with power connected.
• Press and hold the side button until you see the Power Off slider.
• Press firmly on Power Off (do not try to slide it - just press down more firmly than a normal tap) and then tap on Erase all content and settings.
• Pair your watch using the Watch app on your iPhone, choosing to Restore from Backup if offered the option.

If you forgot the passcode for your Apple Watch - Apple Support

While the Apple Watch is on the charger, hold down the power/dock button until you see the option to power off, but do not turn off the watch. From that screen Force Touch (press hard) until you see an option to a reset.

It should take it back to the settings where you can re-pair it with the phone like you did when you purchased it
