They are different iPhone models.
One is an S the other is not.
It's meant for different (countries) markets. (Grey import?)
If you buy directly from Apple you'll have the same back for your country.

Perhaps if you gave us some context as to the origin of the phones? Models? Point of purchase? Reason for asking?
