They don't have to. If you can provide the original proof of purchase for the device, Apple can remove the activation lock. If you can't provide documentation proving ownership, Apple will not intervene. You'll have to buy a new phone.

Take your iPhone and your receipt of purchase from Apple or authorized reseller to the local Apple Store (make a Genius Bar appointment prior to going) or call AppleCare and they can reset your iPhone. They will not replace the motherboard.
