my software update from 9.3.5 to iOS 10.2.1 wont work

I'm using an iPhone 5 and I've googled it and iPhone 5 does support this software upgrade but whenever I install it I finish agreeing to the terms and conditions, but it verifies, stops and says that I am not connected to the Internet even though I am.

If you are seeing the exact same message, that you cannot update to iOS 10.2.1, that is because iOS 10.2.1 is no longer being signed. If you are trying to update an iPhone 5, it will support iOS 10.3.3, and that is the only iOS you would be able to install on that device, whether you try OTA, or with iTunes. With iTunes, you would need the latest version which is 12.6.2, and that requires Windows 7 or above, or OS X 10.9.5 or above.
