Restore old iphone backup but forgot the lock code

I have a backup of an old iPhone in iTunes, that I want to restore into a new phone. problem is, that the old phone had a passcode witch I can't remember. Is it possible to restore all the contents, and set a new passcode? Or is the old backup worthless without it?
