Your friend has to use a computer to sign in to his/her Apple ID and remove the  Watch from their list of devices.

  1. Navigate to iCloud.com from a computer's web browser to disable Activation Lock.
  2. Sign in with his/her Apple ID and password.
  3. Click on Settings.
  4. Select his/her Apple Watch under My Devices.
  5. Click on the X next to his/her Apple Watch to remove it.
  6. Click Remove to confirm.
