Do you Use Home Sharing?
I think what is going on is Home Sharing is turned to "On". Or some other sharing is occurring. So, turn "Off" Home Sharing on your Apple TV. See if that stops the prompt:

Reset the Apple TV: If this all occurred after reconfiguring your Apple TV, then this time Reset all settings, rather and reconfigure it. As long as you have a record of the passwords for your Networks and iTunes, then you should be good to go. Don't do this if you have lots to reconfigure, or are uncertain of the security info.
To Reset It: Settings > General > Reset > Reset all Settings.
Note that everything would be reset to Factory Settings. So, all would be reconfigured.
Just to be clear before I go through those steps the phone is connected properly to the WiFi. This is the message where it is asking if it is OK to share the password with another device. I had to reconfigure my Apple TV the other day and it started happening after that.
