If you're trying to update your iPad via iTunes connected to a computer, try this workaround:

Disconnect your device from the computer
Temporarily disable the passcode on your iPad
Restart the iPad
Restart iTunes
Reconnect the iPad to your computer and restart the update procedure.

When finished, re-enable your passcode on your iPad.
