I am prompted to Upgrade Notes, but the app never upgrades. I am not able to access iCloud notes or share notes. They are only available to save On My iPhone.
I have tried deleting the app and reinstalling. I have tried signing out of my iCloud account and signing back in.
Running iOS 14.1 on my iPhone 11 Pro.

Now change the Default Account from On My iPhone to iCloud.
Is Notes enabled via Settings > Name > iCloud > Notes > turned on?
Per your screenshots, it looks like your notes are being stored primarily on the device and not in iCloud as per Default Account - On My iPhone.
Not sure what is occurring in your situation. Next step -- Get Support.
What Notes are you referring to? iCloud Notes does not require updates so I'm not understanding how/why it's asking for an update. Can you post a screenshot? Please redact any personal/private information.
In the screenshots, you can see an instance of me being prompted to upgrade my notes.
My iCloud notes do not show up in the app even though my account is set up in Settings —> Notes —> Accounts.
Notes is also toggled on under the iCloud settings.
I don’t have the option to store my notes on my iCloud. I am trying to enable it. In my settings I have my iCloud account set up under notes, but there is no option in the app. From what I found on the internet, the app needs to be upgraded. Also shown in my first screenshot, I can only use password locks if the app is upgraded.

Yes. Notes is enabled under my iCloud settings.
