if downloading 40K photos from laptop to iCloud, is it best to close photos?
when uploading 40 thousand photos from MacBook Pro to iCloud, should Photos be closed?

Are these photos you've imported into photos? If so, photos needs to be open to do the upload.
If you are uploading using the web interface, why? Much better to import into photos, and let that get on with the synchronisation to Icloud.
(Edit: Although with 40K pictures it will take some time - Days probably)
