I have no serial number and my old watch is not actively synced with my phone

I have an iWatch 7. I want to give my iWatch 3 to a friend, but she can't sync it until I unsync it. I dont want to re-sync it to my phone and my iWatch app on my phone says either my id or password is invalid. Help!!!
