My Apple Watch is paired to my old phone that is unable to unpaired my Apple Watch. If I erase all contents on my Apple Watch will an activation lock be on my watch or can I just pair with my new iPhone?

If the watch and old phone used a different Apple ID, then yes the watch is under Activation Lock to that Apple ID and cannot be used, even if it is erased.

To remove Activation Lock;

Go to icloud.com and login with the old Apple ID.

Open Find iPhone.

In the All Devices pulldown menu select your Watch.

In the resulting sheet that appears to the right choose erase Apple Watch. Select Next until the device is erased.

Then Remove the watch from your Apple ID.

This should reset the watch to the factory settings for you to setup as new and pair it to your iPhone.
