I was given an Apple Watch from my niece after my sister had passed. They do not have the pass code or any information to clear it from the phone of my sisters that they no longer have. How do I set it up with my phone now?

The passcode is not the issue here. That can be bypassed.

The following is how to gain or regain access to an Apple ID:

How to request access to a deceased family member's Apple accounts - Apple Support

As Activation Lock intended as a theft deterrent, it is intentionally difficult to bypass. We can’t help bypass it. Absent sufficiently-convincing proof, Apple won’t help.

If the Apple ID cannot be accessed, the Watch will not be useful. Recycle it.
