Hey Johnmstaff,
There are a few reasons you may be unable to download the iOS update. Most of them are outlined in the Apple Support article, If your iPhone or iPad won't update.
If you answer yes to both of those questions, these are the next steps to try:
Remove and download the update again
If you still can't install the latest version of iOS or iPadOS, try downloading the update again:
1. Go to Settings > General > [Device name] Storage.
2. Find the update in the list of apps.
3. Tap the update, then tap Delete Update.
4. Go to Settings > General > Software Update and download the latest update.
If you don't see the update in the list of apps or if the issue happens again, you need to update your device with your computer:
• Update your device using a Mac with macOS Catalina or later
• Update your device using a Mac with macOS Mojave or earlier, or a Windows PC
Learn how to use recovery mode if your computer doesn't recognize your device or your screen is stuck on the Apple logo for several minutes without a progress bar.

None of this actually helped. I got it to work by turning off Handoff, switching off Bluetooth, and making sure it has 8 GB free space. And Now it works.
Thanks Apple... Do better next time.
Thank goodness for your comments. I think the key is you need LOTS of memory
