I have two iPhones with the same ID.
On one, I want to Erase all data and apps and give it to a family member. It is logged out of iCloud.
On the other I want to keep all data, apps, photos etc. and its currently logged in to iCloud.
If I "Erase All" on the "give-away" phone will it affect the iPhone that I want to keep that is logged in to iCloud?

Losing Items After the Reset:
Resetting the iPhone would only have a bad affect the other iPhone, for third-party apps. As for items that are in iCloud, downloaded items will remain in iCloud.
