Recently I ve bought an Iphone16 pro, and the old Iphone, which is an iphone 12, i ve restored to fabric settings to give it to my mom. I ve put an passcode on the old phone, but I don’t t remember it and it s empty, it doesn t have icloud on it. I mention that I have the original box of the phone and the invoice with IMEI on it from the store. How can I resolve this issue?

Simplest thing to do is restore the iPhone. Might be a good idea to write down the new passcode when you set up the phone again.......even if you are sure that you will never forget it.
