Address Book Sync iCloud

I have an Exchange subscribed address book and On My Mac in Address Book - so 2 address books - when I choose to enable iCloud - does it only sync my On My Mac address book or does it also drag my Exchange subscribed address book to the cloud?

I really would like to get rid of the Exchange address book - it's over 1200 contacts - but I cannot find the best way to import it into Address Book that does not screw up all of the data.

MacBook Pro, Mac OS X (10.7), 2.3 GHz Core i7 8 GM RAM

Save your Outlook address book to a comma-separated plain text spread sheet, and OS X's Address Book application (which Mail uses for contacts management) can import them with nary a hiccup.

I had tried that - created some success but I guess I need to tighten up some of my contacts in Outlook to make them transfer better.
