my question is what is the disadvantage of refurbished ipad and if i buy one does it include iOS 5 and iCloud or not

IOS-5... If not present, you can upgrade yourself at no cost.
iCloud... Yes but, just like a brandy new iPad, you have to set it up yourself.
Warranty... I don't know. Warranty for a new iPad is one year.
Warranty on refurbished iPads from Apple is one year just as with a new iPad.

what i mean there is something different in the features than the new one or malfunctions
or some scratches as old ipads
I would be surprised if you (or anyone) could tell the difference between a refurbished unit and a new unit.
There will be absolutely no difference in features. And iPads are given a complete reconditioning and extensive testing (more stringent than with new iPads, it's been reported), so malfunctions, while possible with any device, are perhaps even less likely than with a new iPad.
The only downside is, as Philly said, for those who have an emotional bias against getting a reconditioned item rather than one that's never been used at all.
I have a refurbished iPhone and when I got it I couldn't tell the difference between it and a new phone. I know it's not a refurbished iPad (I have one of those too and it was bought new), but I did want to let you know that I always find refurbished Apple products to be satisfactory.
in fact i have a successful example with my laptop i purshased two years ago ( different brand ) for me it was like brand new one and it works till now perfectly
my concern now because i am from egypt and i will purchase it from US so if there is something wrong i will suffer alot to repair it under coverage of warranty
The warranty on an iPad, even a refurbished one, will still be valid in Egypt. It's only the iPhone that does not have an international warranty. Just make sure you don't buy a Verizon-model iPad, which cannot be serviced anywhere but in the US (and won't work with any other cell carrier either).
Note that refurbished iPads are available only via the online Apple Store, and they accept only US credit cards and will only ship to US addresses. This may not be a problem for you, but I wanted to make sure you were aware.
