Does anyone know how to create a conditional, pop-up note, preferably timed or disappering when continuing ?
ie. If a cel is filled, like the last day in a month, then a note appears, as reminder to do something.

There are no pop up notes in Numbers. You can make a table theat lists dates and events which can feed another table based on the date today and the contents of the original table. You can also Use iCal which is made to do just what you are asking to do-- they are called reminders.
Barry already suggested to only way I know to get the current time into a cell. Numbers is not designed to be a real database program so it it doesn't have a "timestamp".

Have you tried this; Enter a time in a cel in the form 09:45. Numbers recognises it as a date/time entry and can also be used to calculate a proportion of a day or used as a number.(for comparison purposes you have to compare with a string or "" no string. It complains but accepts it.)
If you copy and paste, as Barry suggested, from a cel containing NOW time, using =RIGHT(NOW(),5) which looks the same, you cannot use it in the same way. In other words they are not interchangable cel entries. What Barry said is not strictly true then. Comming from a Numbers Newbe like myself, it needs deeper explanation.

strictly speaking when you copy a cell with NOW() in it an paste values you are saving a dat/time value:
The NOW function returns the current date/time value from the system clock
you will have to jump through hoops to use it in a calulation as the date portion is included. Perhaps it is time for a new trhead focused on this new topic where you also provide some of the details regarding what you are trying to do.

I suggested pasting using Edit > Paste Values, which will paste the Date and Time value copied from the cell containing NOW().
=TIMEVALUE(B2) extract the fraction of a 24 hour day represented by the Time part of the Date and Time value in cell B2. You may find that useable in your calculations.

I tried both ways but it will not accept the date to be use as a number in calculations, either way. Thats what is so curious. Numbers seem to be saying inputing time and extracting the time are different even though they look and, in some ways, act the same. The iWork team have spotted my query about the lost link between table and chart and emailed me for more info. I'll try to sneek a question in about time and see if they can help. Cross your fingers

Here's an example.
Cell A1 contains =NOW().
Column B contains a series of Date and Time values copied from A1, then pasted into column B using Edit > Paste Values
Column C contains =TIMEVALUE(B), and shows the Time portion of the Date and Time value in B as the fraction of a day that time (of day) represents. The Date part of the value is ignored.
D3 contains the formula =C3-C$2 The formula is filled down to D5, and shows the difference in the time value in its row from the time value in C2.
E3 does the same calculation as D3, but multiplies the result by 24*60 to produce the number of minutes represented by that time value. E3: =(C3-C$2)*24*60
F3 does the same calculation as D3, but multiplies the result by 24*60*60 to produce the number of seconds represented by that time value. F3: =(C3-C$2)*24*60*60
Below: Same table with column B formatted as Date and Time, Date: none, Time: 7:08 PM, and with another NOW() valued copied from A1 and placed in B7 using Paste Values:
Note that the NOW() value that was copied is what was pasted. The recalculation forced by drgging the formulas down to the next row included an update to NOW().

Well, it certainly works and there are a number of obviously options to it.
You can use =RIGHT(NOW(),5) in A1, not that it makes much difference.
The bit that's missing in Numbers is the 'Paste Value' ability in software, or preferably an instantanious reading of the clock.
You can also hide the unnecessary columns.
A factor that needs sorting, is the rollover at midnight the figure starts going negative.
I think I ran across another possibility, while I was routing through the comands available, that was not tried, Delay or Duration, something like that.
