Just upgraded to Moutnain Lion and updating Mail Upgrade and it hangs , as many others have found.
My Solution!
Force Quit. Restart. Try mail again. If it hangs again, force quit and the second time I restarted it all kicked in and did its job upgrading Mail. (Phew)
All is OK.
The second restart seem to solve the problem for me.

Sorry wrong thread.
This worked for me even better than expected. I just moved the least needed *.mbox to desktop. Then I went file - Import mailboxes - APPLE MAIL (the mbox option did not work). Suddenly all the folder I left untouched in the ~/Library/Mail/V2/ appeared in the Mail. Magic!
Just be very patient. It will get there in the end. No need to force/quit or restart or anything. Just get yourself a cup of coffee or two
