Eligibility for an out of warranty replacement is always at Apple's discretion, but their price for a replacement is roughly half that of a new one. The replacement will be refurbished, not new.

It will be replaced wit an almost brand new phone.

If you consider a refurbished device "almost brand new", then okay.

Since there are 2 devices created at a time. one is sold with accessories and one is for replacement

???

They don't use new iPhones as replacements unless they do not have any refurbs in stock. Doesn't happen much at all.
