exchanged old iPhone 5 for new one

Now I've got a replacement iPhone 5 I've already back my old one up to iCloud but this replacement needs to be updated to iOS 8.2

so do i set the new iPhone up as a new device so i can up date it , but will i still be able to go back and retrieve my data from iCloud
