She should create a new Apple ID (appleid.apple.com)
Her phone, your old one, should then be set up with her Apple ID.
No. Not if you follow the steps outline at https://support.apple.com/en-us/HT201351 (Sorry, I gave the Mac instructions above. These are for iPhone). When you sign out of your account it disconnects the device so that you can erase it and start fresh. It's pretty easy to do, just follow the guide.
