you don't need the old phone to pair with a new read

How to pair your Apple Watch with a new iPhone - Apple Support

scroll to section "If you don't have your old iPhone or you erased it"

you don't need a phone to bypass an activation lock just the appleID and password

if you forgot that then

If you forgot your Apple ID password - Apple Support

and or About Activation Lock on your Apple Watch - Apple Support

scroll down to section "Turn off Activation Lock on the web"

about serial number then go to How to find the serial number or IMEI for your Apple Watch - Apple Support

scroll down to "Check the case of your Apple Watch"

and you will notice only the first apple watch ever have the serial number on the back

if you look on the image to the left you will notice that the rest of apple watchs has the serial number

in the watch band connector so you need to remove the band first
