I have tried four times to upload the IOS 10.4 but it won’t complete the process. It keeps getting stuck on preparing. Each time I have tried again, I have deleted the previous attempt from storage. I have also tried resyncing Bluetooth but it still hasn’t worked. I have an iPhone 12.

Finally succeeded by deleting my watch altogether, restoring from back up and then updating. Which worked for me.
Installation requires the Apple Watch to be on its charger, at least 50% charged, and connected to Wi-Fi. And your iPhone must be nearby.
I have followed those instructions each time I have tried. Still doesn’t work.
Makes no difference when the watch is on the charger or not. Restarted both phone and watch and still it’s sitting in the preparing mode 🤷🏼♂️ I’ve now given up trying….
