I was just having this issue and 'updaitng' genius didn't work. What I did was:
When I turned on Genius, it actually had a new user agreement that I had to agree to. Don't know what I had to disable it and enable it to see that new user agreement....

I had this problem today myself, and was frustrated repeatedly by the '4002' error.
I have literally just fixed the issue by doing the following steps:
1: Go to the 'Store' tab and select 'Turn Off iTunes Match'
2: Return to the 'Store' tab and select 'Update Genius'
3: Wait for this to complete succesfully, the return to the 'Store' tab once more and select 'Turn On iTunes Match'.
4: iTunes Match will now go through the motions and should succeed!

Just spoke with a support rep.
She had me turn off itunes match, turn on genius, then turn on itunes match. Didn't work for me, but apparently (as we've seen on here) this is a fix for some people.
She said that this is a known issue that they're trying to address. It seems to be more prone to happening on macbooks and macbook pros than desktops.
She said to fill out a feedback form. The more people that fill this out, the quicker the engineers will address it.
I had to add an extra step to make this work for me. I had to also select "Turn off Genius." When I did this, it deleted my local genius data which then allowed me turn genius and Match on successfully.

This was still not working for me, however I then followed up with.
1. Close Itunes,
2. Right click the short cut, and click "run as Administrator",
This worked for me.
Have iTunes 11.0.2 and OS X 10.8.2 and was having the 4002 Error issue. I turned off iTunes Match which allowed me to then turn off Genius. After doing this I turned on Genius again and then iTunes Match. The error is now gone! Thanks all for your excellents posts.
Updated: After working at first, Error 4002 came back after just turning on and off Genious/iTunes Match. Now I have deleted the cache as mvest20 suggested. The error has now been gone for over 2 weeks. Yeah!
The workaround just worked for me (Mac Pro, OS X 10.8.2, iTunes 10.7).
Actually a simpler form of the workaround: went to the "iTunes Match" section in iTunes, hit the Stop button, then used the Store->Update Genius command, then hit the Start button again for iTunes Match. I didn't need to turn iTunes Match off and back on.
I strongly believe the Error 4002 is due to internet connections. I was using a broadband connection of 4megs download load and only 500mb upload. However, using a friends much faster connection of uploads over 2megs it worked fine. Not saying this is the only cure but has worked for me.

Before I get started, I will say that I love iTunes Match, and for $25/year it is worth every penny, even with the annoyance of this error.
I have been having this problem on and off again for about 6 months. It only occurs on my Mac Mini, and when I get the 4002 error I still have access to my music, but I can't add any new music to the cloud. I also have a MacBook Pro connected, as well as a few iPhones and an iPad, with no issues on any of those devices. I am able to temporarily resolve it by taking these steps:
1. Turn off iTunes Match.
2. Turn off Genius.
3. Quit iTunes.
4. Re-launch iTunes
5. Turn on Genius.
6. Turn on iTunes Match.
After about 20 minutes, I'm back up and running, but the error will return, sometimes within a week, sometimes within a month.
I keep my library on an external RAID array (which shouldn't be a problem, but I thought I would mention.) OS is 10.8.3, and iTunes 11.0.2. I just saw that 11.0.3 was released, so I'm updating now, and will report back as to what my experience is going forward. I have just fixed it this evening, so it may be another month before the issue recurs, if at all.
Do these symptoms sound familar to anyone else, and if so does anyone have any other possiblities for a long-term solution?
I've noticed that it can not put into iTunes Match audiobook album and put to books -> audiobooka lubrary atbthe same time. I did it and I had a troubles. 1 audiobook album has been uploaded by iTunes Match and now I can't delete it from iCloud anymore. After deleted the second copy of the same album from audiobooks library, iTunes Match started work correctly.

Make sure that you have the latest version of iTunes installed on your computer and that your OS is up to date on your computer, Then try the previous steps again.
I stumbled across this article today while searching for a separate solution, but I believe that it may apply to our sitatuion. I am still yet to experience any further problems with the errors after a month of patience, but I will likely try this as well to exhaust all possible issues. If you don't want to read it, what it basically says is that if you hold down the option key while turning off iTunes Match, the local cache will be deleted. On my laptop, I was running out of space on my SSD and I discovered that the iTunes Cache folder (~/Library/Caches/com.apple.iTunes/PlayCache) had gotten fairly large. I assume (and I have not done the research to confirm this) that the Mac handles the streaming much like iOS devices do, by caching the songs locally. On my iOS devices, I regularly have to go in and delete the music from the device in order to free up space, but I realized thta I hadn't done that on my Mac, which led me to the realization of what was happening. I suspect that the 400x errors may be related in some way to this cache, and that by deleting the cache we may be able to prevent the errors from returning. At the very least, it is worth a shot. You need to reduce the number of non itunes purchased to below 25K.
You could create a second blank library and turn on match. This will show you all tracks with icloud status matched, uploaded or purchased. You can delete tracks from the cloud using this second library. When you go back to your main library, those tracks will still be in your library BUT the icloud status will be shown as "Removed". Match will ignore them for subsequent scans.
Once you have deleted those extra track, you should try selecting update itunes match. Once the latest tracks have been added to can manage your library using this method to keep numbers at an acceptable level.

the only way i found to work it out is to force single tracks to "ADD IT TO ICLOUD" by right click to them !!! now i seem to have everything flowing
