I recommend you to restart your computer (remember to untick "Reopen windows when logging back in") and then, try installing Flash again. Another option is to open Activity Monitor (it's in /Applications/Utilities) and kill Dashboard
I just did what you recommend. It worked great....I just restarted the computer. I was very leery about quit the dashboard to
install Adobe flash player as I have never had to do that before with update.

I first restarted my MBP. Then tried to install Flash Player. Got same message to quit dashboard. I went into Activity Monitor and saw two Dashboard processes running. I tried to stop both processes, but they would start back up in just a couple of seconds. There is no way to quit Dashboard from the Dock or from within Dashboard. No way to do a Force Quit either.
So, instead of restarting my MBP. I shut it down. Then started it up. I went back to the Flash Player install and this time it installed.
If it is so difficult to quit Dashboard, why does Flash Player require it to be quit? And it would be nice for them to give a hint as to how to stop it! This is the first time I've ever been told to quit Dashboard. In trying to close Dashboard, I deleted one of my widgets. It was a neat one that monitored most of my MBP systems. Now I can't find it to re-install it. Bummer.
Anyone know why Flash Player needed to have Dashboard quit??
The activity monitor method is a pain because there are multiple dashboard items, and you can't select more than one at a time to stop the process, while they are immediately re-booting.
So I tried a (different than the one posted here) terminal command and that didn't work so I quit about 30 dashboard processes in activity monitor and even though there were still a bunch running (impossible to terminate them all), it finally worked.
What a horrible update experience, if anybody cares please fix this for next time!

Thanks very very much for writing this simple solution that really WORKS first time out! I also liked your "STOP ALL ACTIONS!" lead in. It certainly got my attention and it saved me a ton of work/time trying to go through all of the re-start processes in the other responses. I always say that to fix a problem "whatever works for you, works." I also totally respect all of the other responses because they worked totally easier for others...and that it great. But, for me, your response/suggested action was perfect!

did not know about activity monitor! used spotlight to open it. found DOCK listed. clicked on it , selected force quit, and VOILA

How did you figure that out?
I've been trying to install Flash for a week, must have tried about 50 times and can't install it. I always use to update it and never had a problem. I've had setting in Adobe to install automatically but I also would check it and update manually. Then all of a sudden this new update wouldn't install.
What it does is it downloads to about 50% and then just when it looks like it's about to intall a box pops up and says (generalized intall error). And I haven't got any type of message telling me to quit dashboard or any other thing for that matter.
So I uninstalled it completely thinking that would help and I still can't still can't install it from scratch. I did everything. Shut down all applications, restarted my computer still to no avail. Never had a problem (now all of a sudden)?
So now I no Flash Player at all on my computer.

No wonder Apple don't want flash on iOS when they give you crap like this just to install a update.
Had problems in April updating Flash Player, but was able to do it by doing a clean boot of OSX.
Had another update request a week ago and had the same problem, it wouldn't install without closing Dashboard. No easy way to do that. I cancelled the update. I saw the above more recent posts, but couldn't see anyway to initiate the update to Flash Player from my MacBook Pro. So, I went to the Adobe Website and had the most recent version of Flash Player downloaded.
Lo and behold, got this same "Close Dashboard" message. So, I tried going to Activity Manager and forced quit DOC, as suggested by WYNWillieB above (Thanks!). That worked and I was able to complete the install of Flash Player. Also it looks like DOC restarted automatically right afterwords.
So, why doesn't Adobe give OSX users some helpful suggesting in installing this update??? Surely they must know about this problem.
I'm not sure why we need the Adobe Flash Player anyway. Which programs require it?
Another question. Neither Safari or Firebox show Flash Player as an installed Plug-In. So, how do I see which version is installed? Is it not a Plug-in? How do we look at it under OSX? This whole business is confusing.
A lot of websites require it. You wouldn't be able to view YouTube videos or go to any of the weather or newsites to watch any videos. A lot of newsites like CBS, CNN, ABC and others have videos on their sites of news events and weatherchannel.com has storm videos and if you don't have it installed you'd just get a big blank black box saying (missing plug-in) to view this content please install latest version of Adobe Flash Player.
Funny thing is even though it doesn't install for me all I get is the error in the end. I don't get any message saying to quit the dashboard. I don't know maybe because I'm still on Mountain Lion, (I don't know what OSX these other guys may be using), but now tonight when I get home I'm going to try quitting the dock as WNY Willie B suggest as this is seeming to work for everyone in this thread.
Last night I was on E-Bay viewing some item listings and it said at the bottom of the page (Adobe Flash Player is required to view this item the way the seller intended it to be shown) Even E-Bay!
